As an integral part of our representation of clients on real estate and environmental matters, we represent clients on business law issues. This includes the structuring, organization, and formation of limited liability companies, corporations, partnerships and limited partnerships, including negotiating and drafting shareholder agreements, partnership agreements, operating agreements, bylaws and other business documentation. This representation includes registering these entities with the Rhode Island Secretary of State, handling business filings, annual meetings, and governance issues. We also prepare authorizing resolutions and other authority documents for significant organizational activity, including property acquisitions and sales, and financings.
Our representation of clients on business law issues also involves negotiating and drafting third-party contracts, forming joint ventures, and negotiating and drafting buyout agreements, stock purchase agreements, and other ownership transfer documentation.
